Business Types in Montenegro

Montenegrin law permits the establishment of six types of companies:

  1. Entrepreneur
  2. Limited Liability Company
  3. Joint Stock Company
  4. General Partnership
  5. Limited Partnership
  6. Part of a foreign company

Entrepreneur

If an entrepreneur wants to conduct business under a different name it is necessary to register a company in the Commercial Court and he/she needs to present:

  1. Personal identification card
  2. Completed registration form
  3. Registration fee of €10 (USD $10.60)
  4. Administrative fee of €12 (USD $12.70) for announcement in the Official Gazette
  5. Note: There is no minimum capital requirement

Limited Liability Company


  1. For companies of 1-30 members
  2. Completed registration form
  3. Registration fee of €10 (USD $10.60)
  4. Administrative fee of €12 (USD $12.70) for announcement in the Official Gazette
  5. Note: There is no minimum capital requirement

Joint Stock Company


  1. Founding Act (The Foundation Agreement)
  2. Contract of decision of the company’s foundation (The Charter)
  3. List of names of all board members and managers
  4. Decision of the Securities Commission approving the prospectus for the public offering of shares
  5. Minimum capital requirement of €25,000 (USD $26,480)
  6. Completed registration form
  7. Registration fee of €50 (USD $53)
  8. Administrative fee of €12 (USD $12.70) for announcement in the Official Gazette

General partnership


  1. For companies with two or more members
  2. Completed registration form
  3. Registration fee of €10 (USD $10.60)
  4. Note: There is no minimum equity requirement

Limited partnership


  1. For companies with two or more members
  2. Completed registration form
  3. Registration fee of €10 (USD $10.60)
  4. Note: There is no minimum equity requirement

Part of a foreign company (Foreign Company Branch)


  1. An authenticated copy of the charter of the foreign company and a translation of the charter in the Montenegrin language duly certified as a true and correct translation
  2. Registration certificate from the home country and relevant financial reports
  3. Completed registration form
  4. Registration fee of €10 (USD $10.60)
  5. Note: There is no minimum equity requirement
